Terms and Conditions

These Terms & Conditions ("Terms") govern your access to and use of Evzino, Evo, the Evzino website, Evzino applications, WhatsApp-based Evzino services and any other Evzino product or service that links to these Terms (collectively, the "Services").

The Services are provided by Evergreen Venture Partners Co., Ltd, trading as Evzino ("Evzino", "we", "us" or "our").

By selecting a button indicating that you accept these Terms, creating an account after these Terms have been presented to you, or otherwise expressly agreeing to them, you enter into a binding agreement with Evzino. If you do not agree, do not create an Evzino account or use the Services.

Nothing in these Terms excludes or limits a right or remedy that applicable law does not permit you to waive.

1. Eligibility

You must be at least 18 years old, or the applicable age of legal majority if higher where you live, to create an account or use the Services.

You may not use the Services if you are below the applicable minimum age, lack legal capacity to enter this agreement, applicable law prohibits your use of the Services, or we have lawfully suspended or terminated your account.

Evzino may market certain products primarily to particular age groups. Marketing criteria do not change the contractual minimum age.

2. About Evzino

Evzino is a personalized nutrition, fitness, wellness and coaching service.

Depending on your location, plan and available features, the Services may include Evo, Evzino's AI wellness coach; nutrition and meal logging; meal-photo analysis; calorie and macronutrient estimates; hydration tracking; activity and workout logging; personalized nutrition and fitness targets; meal and workout suggestions; personalized recommendations; Evo Briefs; progress summaries; reminders and task-management features; behavioral and routine personalization; human wellness, nutrition or fitness advisors where included in your plan; individual or group fitness services where offered; and other wellness-related features we may introduce.

The specific features included in a paid plan are the features described at the time you purchase that plan.

3. Evo is artificial intelligence

Evo is an AI system. When you interact with Evo, you are interacting with artificial intelligence unless Evzino clearly tells you that you are communicating with a human.

Evo may use information you provide and information generated through your use of Evzino to produce estimates, observations, summaries, recommendations, hypotheses, predictions and personalized suggestions.

AI systems are not perfect. Evo may misunderstand information, make inaccurate estimates or produce incorrect recommendations. You should correct information that appears inaccurate. Personalization may change over time as Evo learns more about your actual behavior, preferences and circumstances.

4. Evzino is a wellness service, not medical care

Unless Evzino expressly identifies a particular service as being provided by a regulated healthcare professional in that professional capacity, Evzino provides general wellness, nutrition, fitness and lifestyle support.

Evzino and Evo do not provide medical diagnosis, medical treatment, emergency medical services or prescriptions, and are not a substitute for professional medical care.

Information produced by Evzino should not be used as a substitute for advice from a physician or other appropriately qualified healthcare professional where professional medical advice is required. Do not delay obtaining appropriate professional healthcare because of information provided by Evo.

5. Personal circumstances

Nutrition and physical activity can be affected by individual circumstances. You should seek appropriate professional advice before relying on personalized nutrition or fitness guidance where your circumstances reasonably require professional oversight, including where you are pregnant or recently postpartum, have a diagnosed medical condition, use medication that affects nutrition, exercise or metabolism, have a significant injury or physical limitation, have a medically significant dietary restriction, or have been advised to follow a medically supervised program.

Nothing in this section is intended to imply that you have any particular health condition.

6. Estimates and limitations

Meal photographs, text descriptions, food databases, portion assumptions and AI analysis can be imperfect.

Unless expressly stated otherwise, calories, macronutrients, serving sizes, activity and energy-expenditure calculations, timelines and milestones are estimates or planning tools. AI observations are not guaranteed facts. Actual results may differ.

7. Allergies and food safety

Do not rely on Evzino's image recognition, meal suggestions or food recommendations as a guarantee that any food is safe for a particular allergy.

You remain responsible for informing Evzino of relevant known allergies when requested, checking ingredient information where necessary, communicating directly with restaurants, manufacturers or food providers regarding allergens, and following professional medical advice relevant to allergies.

8. Exercise

Physical activity involves inherent risks. You are responsible for deciding whether an exercise is appropriate for you and for using appropriate surroundings, equipment and technique.

If you have medical concerns relating to exercise, obtain advice from an appropriately qualified professional.

9. Your account

You must provide accurate information when creating and maintaining an account.

You are responsible for safeguarding your login credentials, activity occurring through your account where reasonably within your control, notifying us of suspected unauthorized access, and keeping important account information reasonably current.

You may not sell or transfer your account.

10. Information you provide

Personalized guidance depends partly on the information available to Evzino. You should not knowingly provide materially false information where doing so may affect the safety or operation of the Services.

You may correct information through available product functionality or by contacting us.

Processing of personal information is governed by our Privacy Policy and, where applicable, the Evzino Health & Wellness Data Consent and other jurisdiction-specific notices.

11. Health and wellness data

Certain Evzino features require health and wellness information. Where applicable law requires separate consent to process that information, Evzino will request consent separately.

Acceptance of these Terms does not by itself constitute consent to every processing operation described in our Privacy Policy.

12. Human advisors and coaches

Certain plans may include access to human advisors or coaches. Unless expressly stated otherwise, an Evzino wellness advisor is not your physician, a fitness coach does not provide medical diagnosis or treatment, and human coaching does not transform Evo into a medical service.

Where a person is acting under a particular professional license or credential, their role may be subject to additional terms and applicable professional rules.

Advisor availability may depend on your plan, geography, scheduling, capacity, professional scope and regulatory restrictions. Evzino may reasonably replace or reassign an advisor or coach. Booking, cancellation and missed-session rules may apply and will be disclosed with the relevant service.

13. WhatsApp and communications

Evzino may provide Services through WhatsApp or other communications platforms. If you choose to use those channels, Evzino may send service-related communications such as replies to your messages, meal or activity prompts, reminders, Evo Brief notifications, service updates, appointment communications, and account or payment notices.

Marketing communications will be subject to separate preferences or consent where required. You may opt out of optional communications through the methods provided.

Third-party communication platforms remain subject to their own terms and privacy practices.

14. Reminders and tasks

Evzino may allow you to create reminders or tasks. You remain responsible for important deadlines, appointments and obligations.

Do not rely on Evzino as the sole method of remembering a critical medical, legal, financial, safety or emergency obligation. Delivery can be affected by device settings, third-party services, internet connectivity or technical failures.

15. User Content

"User Content" includes content you submit to Evzino, such as text, photographs, meal images, messages, activity information, files and feedback. You retain ownership of your User Content.

You grant Evzino a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, transform and display User Content only as reasonably necessary to provide the Services, personalize your experience, maintain and secure the Services, investigate technical issues or abuse, comply with law, and improve the Services in accordance with the Privacy Policy and applicable law.

This license does not give Evzino an unrestricted right to publicly publish private health or wellness information. You must have the legal right to submit User Content.

16. Feedback

If you voluntarily provide ideas, suggestions or product feedback, Evzino may use that feedback to improve its products without payment to you. This does not give Evzino unrestricted rights over personal information merely because it appears in feedback.

17. Third-party services

Evzino may depend on third-party providers for functions including WhatsApp or messaging, authentication, payments, hosting, cloud storage, AI technology, analytics, scheduling, email and connected devices or integrations.

Third-party services may be governed by their own terms. Features dependent on third parties may change or become unavailable.

18. Subscriptions and paid services

Some Evzino features require a subscription or other payment.

Before you purchase, the applicable checkout will disclose material commercial terms including, where applicable, the selected plan, price, currency, billing interval, what is due today, whether a free or introductory period applies, the first charge date, first charge amount, recurring charge amount, renewal terms, cancellation deadline and cancellation method.

Transaction-specific terms presented at checkout form part of your agreement with Evzino.

19. Free and introductory periods

If a subscription begins with a free or introductory period, Evzino will disclose the applicable terms before you authorize recurring billing.

If the checkout states that nothing is charged today, no subscription charge will be taken that day, although your payment method may be securely authorized or saved by our payment processor.

Unless cancelled before the disclosed deadline, the first charge may occur on the date disclosed at checkout.

20. Recurring billing authorization

Your acceptance of these general Terms does not by itself constitute recurring-payment authorization.

Before starting an automatically renewing subscription, Evzino will separately present the recurring billing terms and obtain the affirmative authorization required by applicable law.

By providing that authorization, you authorize Evzino and its payment processor to charge your selected payment method according to the displayed billing schedule until you cancel.

21. Payment processors

Payments may be processed by third-party payment providers such as [PAYMENT PROCESSOR].

Evzino may receive information such as payment status, transaction identifiers, payment method type and limited card metadata. Evzino need not receive or store your full card number where the payment provider processes it on our behalf.

22. Failed payments

If a payment fails, we may notify you, request an updated payment method, retry the charge where permitted, or temporarily restrict paid features.

23. Automatic renewal

Recurring subscriptions renew according to the billing period displayed when you enroll until cancelled.

Where applicable law requires advance renewal notices, reminders or further authorization, Evzino will provide them.

24. Cancellation

You may cancel a recurring subscription using the method provided in your Evzino account or identified at checkout.

Where appropriate, Evzino intends to provide an online cancellation mechanism for subscriptions purchased online.

If you cancel before the first charge deadline stated for a free period, you will not be charged the first recurring subscription fee. If you cancel after a paid period has started, cancellation normally prevents the next renewal. Access may continue through the paid period unless applicable law or your transaction-specific terms provide otherwise.

25. Refunds and statutory rights

Refund eligibility is governed by the refund terms presented in connection with the applicable purchase, Evzino's then-current Refund Policy, and mandatory consumer law.

Nothing in these Terms removes a statutory right to withdraw from a contract, receive a refund, obtain a remedy for defective digital services, or exercise another non-waivable consumer right.

26. Taxes

Applicable taxes may be added to the displayed price where legally required unless stated to be included.

27. Price changes

Evzino may change prices prospectively. For existing recurring subscriptions, Evzino will provide any notice or obtain any authorization required by applicable law before a new price applies. You may cancel before the new price becomes effective.

28. Upgrades and downgrades

If you change plans, the applicable price and billing effect will be shown before you confirm the change.

29. Promotions

Promotions may be subject to additional terms. Evzino will not intentionally use fabricated scarcity, false countdowns or hidden subscription enrollment.

30. Intellectual property

Except for User Content and third-party materials, Evzino and its licensors own the intellectual-property rights in the Services, including Evzino, Evo, software, interfaces, designs, databases, algorithms, personalization systems, Evo Brief formats, content, branding and trademarks.

Evzino grants you a personal, limited, non-exclusive, non-transferable right to use the Services for lawful personal use while your access remains valid.

31. Acceptable use

You may not use Evzino unlawfully, attempt unauthorized access, access another person's account without permission, interfere with security, introduce malicious software, reverse engineer Evzino except where law expressly permits, scrape or systematically extract the Services without authorization, infringe another person's rights, resell Evzino without authorization, impersonate another person, or circumvent access or payment restrictions.

32. Service availability

We aim to operate Evzino reliably, but online, messaging and AI services cannot be guaranteed to operate continuously. Services may be interrupted for maintenance, technical failures, security events, third-party outages or product changes.

33. Changes to the Services

Evzino may improve, modify, add or discontinue features. We will not rely on this clause to avoid providing paid benefits in circumstances where applicable consumer law prohibits doing so.

34. Suspension and termination

Evzino may suspend or terminate access where reasonably necessary because of unlawful use, material breach of these Terms, fraud, security risk, abuse, non-payment or legal requirements. Where appropriate and legally required, we will provide notice.

35. Ending your account

You may stop using Evzino at any time. Cancelling a subscription and deleting an account are different actions.

Cancelling stops future subscription renewals in accordance with the cancellation terms. Deleting your account requests deletion of applicable personal information as described in the Privacy Policy.

The product should clearly tell you whether an account-deletion request also cancels an active subscription.

36. No guaranteed outcomes

Results differ between individuals. Evzino does not guarantee a particular amount of weight loss, muscle gain, fitness result, body-composition change, time to reach a goal, medical outcome, or that every recommendation will work for every person.

Milestones, timelines and projections are estimates and planning tools.

37. Warranty disclaimer

To the maximum extent permitted by applicable law, Evzino does not guarantee that every AI output is correct, every meal is recognized accurately, every nutritional estimate is exact, every recommendation will be appropriate, or the Services will always operate without interruption.

This section does not exclude statutory guarantees or consumer rights that cannot legally be excluded.

38. Limitation of liability

Nothing in these Terms excludes or limits liability where applicable law prohibits exclusion or limitation, including where relevant liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence where legally non-excludable, gross negligence where legally non-excludable, or mandatory consumer rights.

To the maximum extent legally permitted, Evzino is not responsible for indirect, incidental, special or consequential loss arising from your use of the Services.

Where a monetary limitation is legally permitted, Evzino's aggregate liability relating to the Services will not exceed the greater of (a) the amount you paid Evzino during the 12 months immediately preceding the event giving rise to the claim, or (b) [US$100 OR LOCAL EQUIVALENT]. This limitation does not apply where applicable law requires a different result.

39. Responsibility for unlawful misuse

To the extent permitted by law, you are responsible for direct losses reasonably caused by deliberate unlawful or fraudulent misuse of Evzino. You are not required to indemnify Evzino for Evzino's own unlawful conduct or negligence where such an indemnity would be unenforceable.

40. Governing law

These Terms are governed by the laws of [GOVERNING LAW], excluding conflict-of-law principles. However, this choice does not deprive a consumer of mandatory protections provided by the law of the consumer's habitual residence where those rights cannot lawfully be waived.

41. Disputes

Please contact [SUPPORT EMAIL] first so we can attempt to resolve a dispute.

Subject to mandatory local rights, disputes may be heard in the courts of [COURTS/JURISDICTION]. Nothing in these Terms prevents you from contacting a regulator or consumer authority where you have the right to do so.

No global mandatory arbitration provision is included in this version.

42. Changes to these Terms

We may update these Terms where reasonably necessary because of changes to Evzino, changes in law, security requirements or business changes.

If a change materially affects your rights, we will provide notice where required. Where law requires renewed agreement, we will request it.

43. Severability

If part of these Terms is unenforceable, the remaining terms continue to apply to the extent permitted by law.

44. No waiver

Failure to enforce a provision immediately does not waive the right to enforce it later.

45. Assignment

You may not transfer your agreement with Evzino without our consent. Evzino may transfer its rights and obligations as part of a legitimate corporate transaction, subject to applicable law.
